Meta investors could earn free shares if Mark Zuckerberg clears extraordinary targets

Milestones tied to stock gains

A Wednesday filing says shareholders would receive one Class C share for each Meta share they own if the stock more than doubles from a $580.60 baseline to above $1,161. The compound annualized return since September 10 must also reach at least 10%.

If the stock’s 30-day volume-weighted average price later doubles to about $2,322 and its average annual gain is at least 10%, shareholders would receive the same dividend again. The filing describes the price goals as “extraordinary,” Meta said.

Separate dividend already planned

The potential milestone-based payouts would be in addition to a dividend declared by Meta’s board on Wednesday. Under that plan, Class A and Class B shareholders are expected to receive Class C shares on a one-for-one basis, likely in late January.

Meta owns Facebook, WhatsApp, Instagram and the AI agent Muse. Its stock has climbed more than sevenfold from its November 2022 low, and the company’s market capitalization is nearly $1.8 trillion.

Tax concerns shape share changes

Zuckerberg ranked fifth on the Bloomberg Billionaires Index, with a net worth of $247 billion at Wednesday’s close. The filing says he could sell the Class C shares to raise money for the tax without selling existing shares and reducing his voting power.

Relocation raised management questions

Meta’s board acted after Zuckerberg said he was considering leaving California because of the potential tax. The filing says he warned that steps such as putting his home up for sale could prompt employees to question the company’s management. The article says Meta’s stock targets could unlock repeated share dividends, but it does not specify how many milestones might ultimately be reached.

Key points

  • The first additional dividend requires a stock price above $1,161 and at least a 10% annualized return.
  • A later milestone near $2,322 could trigger another one-for-one Class C share dividend.
  • The new payouts would be separate from an initial dividend expected likely in late January.
  • Zuckerberg could sell Class C shares to raise money for California’s proposed 5% wealth tax.
